Confirmation of Capital Reduction and Subscriber Share Cancellation

The Company announces that the High Court of Justice in England and Wales (the "Court") has made an order confirming the reduction of the share premium account and the cancellation of the subscriber share of the company (the "Capital Reduction" and "Subscriber Share Cancellation", respectively) under section 648 Companies Act 2006 (the "Act").

Details of the Capital Reduction and the Subscriber Share Cancellation were set out in the circular to shareholders dated 19 September 2018 and the Capital Reduction and the Subscriber Share Cancellation were approved by shareholders at a general meeting held on 10 October 2018. The order of the Court has been registered with the Registrar of Companies and, accordingly, the Capital Reduction and the Subscriber Share Cancellation have now become effective.

The Company will be able to apply in due course the distributable reserves arising from the Capital Reduction and the Subscriber Share Cancellation, in accordance with Part 23 of the Act, towards the payment of dividends in line with the Company's dividend policy and for the purposes of future share buybacks, should circumstances dictate it desirable to do so.
