Notification of transactions by persons discharging managerial responsibilities

Transfer of shares to spouse

The Company was notified on 17 December 2015 of the following transactions in its shares:

Mr Ed. Williams, Chairman, transferred 3,437,722 ordinary shares of £0.01 each in the capital of the Company into the name of his wife, Joanna Barkwill for nil consideration on 17 December 2015. Following the transfer, Mr. Williams' total holding of shares in the Company (including shares held in his wife's name) remains unchanged at 6,875,444 shares representing approximately 0.69% of the total issued shares in the Company.

Mr Trevor Mather, Chief Executive, transferred 6,000,000 ordinary shares of £0.01 each in the capital of the Company into the name of his wife, Suzanne Mather for nil consideration on 17 December 2015. Following the transfer, Mr. Mather's total holding of shares in the Company (including shares held in his wife's name) remains unchanged at 19,134,581 shares representing approximately 1.91% of the total issued shares in the Company.
