Atea acquires IT infrastructure company in Sweden with a strong market position in the Gothenburg area

(Sweden) Atea Holding AB has entered into agreement

to acquire Benzler Group AB with 60 employees and

revenue of MSEK 280 (MNOK 243.9) and EBITDA of MSEK

8.1 (MNOK 7.1) in the fiscal year ending 30 June

Benzler Group AB has 60 employees and is

headquartered in Gothenburg with offices in 6 other

cities in central Sweden. The company provides IT

products and services to customers within both the

private and public sector, and has a strong market

position in the Gothenburg area.

The acquired company is expected to deliver revenue

of MSEK 301 (MNOK 262.2) and EBITDA of MSEK 12.2

(MNOK 10.6) in the fiscal year ending 30 June 2011.

Atea has acquired 100% of the shares from the

management and key employees in Benzler Group AB. All

management team members and key employees will

continue in Atea in new positions. The founder of the

company, Hans Benzler, who is currently acting as

chairman has however wished to resign upon completion

of the transaction.

The agreed enterprise value is MSEK 61.0 (MNOK 53.1).

The transaction value will be paid upon completion of

the transaction.

The transaction is subject to approval from the

Swedish Competition Authority and is expected to have

effect within 5 weeks from this announcement.
