Atea acquires print/copy company in Sweden

Atea AB in Sweden has entered into agreement to

acquire a print/copy company with revenue of MSEK 60

(MNOK 49), 35 employees and 5 offices in western part

of Sweden.

Atea in Sweden has entered into agreement to acquire

100% of the shares in "COB Document i Borås AB"

following the signing of a Letter of Intent with the

owners and the Stock Announcement on 4th of February

The acquired company is specialized in sales and

services within the print/copy business area with 35

employees located at offices in the cities of Borås,

Gothenburg, Trollhättan, Skövde and Kalmar.

The company is expected to generate revenue of MSEK

60 (MNOK 49) and EBITDA of MSEK 8.7 (MNOK 7.1) in

All the shares in the company have been acquired from

management. All members of the management team and

all employees will continue in Atea.

The purchase price on debt and cash free basis

(Enterprise Value) is agreed to maximum MSEK 25.1

(MNOK 20.4) in cash payment. It has been agreed that

up to MSEK 2.9 (MNOK 2.4) will be paid as an earn-out

payment to the sellers in 2011 based on the

performance in the transferred business in 2010.

The transaction will have effect as of today.

The acquisition will strengthen Atea's market

position within print/copy in Sweden and is in line

with the announced 20:11:1 growth plan for Atea.
