Atea acquires print/copy companies in Sweden

Atea AB in Sweden has today entered into agreement to

acquire two print/copy companies with total revenue

of MSEK 54.0 (MNOK 43.6) and has signed Letter of

Intents with exclusivity with two other print/copy

companies. All four transactions are expected to be

completed latest February 19, 2010.

Atea in Sweden has today entered into agreement to

acquire 100% of the shares in "Office Document i

Mälardalen AB" and "Office Document och Data i

Södermanland AB", which will strengthen Atea's market

position within print/copy in Sweden.

The acquired companies are specialized within sales

and services within the print/copy business area with

22 employees located at offices in cities of Västerås

and Eskilstuna in Mälardalen, west of Stockholm.

The companies are former members of the independent

chain Office Document and are specialized within sale

and service of printers and copy writers with a large

customer service contract base.

In total "Office Document i Mälardalen AB"

and "Office Document och Data i Södermanland AB" are

expected to generate revenue in total of MSEK 54.0

(MNOK 43.6) and EBITDA of MSEK 5.2 (MNOK 4.2) in

100% of the shares have been acquired from the

management of the two companies. All management

members of the two companies will continue in Atea.

The purchase price on debt and cash free basis

(Enterprise Value) is in total agreed to MSEK 17.3

(MNOK 14.0) for "Office Document i Mälardalen AB"

and "Office Document och Data i Södermanland AB" and

will be paid in cash. The transactions will have

effect as of 17 February 2010.

Atea has the intent to acquire "Office i Värmland AB"

and "COB Document i Borås AB" and has signed Letter

of Intents with exclusivity with the owners of the

two companies. The completion of the transactions are

subject to confirmatory due diligence from Atea's

side and is expected to be completed before end of

February 2010.

Atea will announce the result of the negotiations as

soon as sales and purchase agreements are signed with

one or more of the companies.

The acquisition of print/copy businesses in Sweden is

in line with the announced 20:11:1 growth plan for

Atea. Acquisition of all four print/copy companies

will combined add 87 employees and expected revenue

of MSEK 200 (MNOK 161.6) and EBITDA of MSEK 15.2

(MNOK 12.3) in 2010.
