Australian Securities and Investments Commission ASX Market Announcements Office Mr Nathan Bourne ASX Limited Senior Executive Leader, Market Infrastructure 20 Bridge Street Level 5, 100 Market Street SYDNEY NSW 2000 SYDNEY NSW 2000

ASX ANNOUNCES NEW CHAIRMAN

ASX announces that Rick Holliday-Smith will retire from the Board at the close of the Board meeting on 21 April 2021. He will be succeeded as Chairman by current independent non-executive director Damian Roche.

Mr Holliday-Smith has served as a director of ASX since July 2006 and as Chairman since March 2012. He advised that this would be his final three-year term when re-elected to the Board in 2018.

Mr Holliday-Smith said of his decision to retire: “It has been a privilege to serve Australia’s financial markets as a director and Chairman of ASX. I have been fortunate to be part of a well performing Board and benefitted from working alongside experienced directors. I have been supported through my term as Chairman by ASX’s shareholders and I am grateful to them. And most importantly, I have worked with ASX’s dedicated and talented employees, where I have seen their capabilities grow and the organisation develop and get stronger.

“I have enjoyed my time at both ASX and the Sydney Futures Exchange (SFE) before that, and I am proud of what ASX has achieved and the vital role it plays at the heart of Australia’s economy. ASX is well positioned to continue to create value for the long-term. Not just for its shareholders, but for the many stakeholders that trust in ASX’s integrity, resilience and competitiveness.”

Mr Roche was appointed a director of ASX in August 2014. Prior to that, he had more than 20 years’ experience in global investment banks, with extensive cross-asset class expertise spanning the equities, fixed income, and commodities markets, with a specific focus on the Asia Pacific region, including Australia. Before retiring from executive roles, Mr Roche was at J.P. Morgan where he was a member of the global Corporate and Investment Bank Operating Committee. His most recent role at the bank was as Head of Markets and Investor Services for Asia Pacific, based in Hong Kong.

Mr Holliday-Smith said: “Damian’s deep knowledge of ASX, his background in global financial markets, his international regulatory experience, his knowledge of risk, and his experience managing large teams of people, make him an excellent choice as Chairman to lead ASX.”

Mr Roche said: “It is an honour to be elected Chairman of ASX and to follow Rick, whose achievements are impressive. ASX, its shareholders and directors have benefited greatly from his leadership. Nevertheless, challenges and opportunities continue to present themselves. I am looking forward to engaging with ASX shareholders to understand their perspectives. I am also energised by what’s ahead and by the prospect of working with the Board, management and staff to further strengthen ASX’s foundations and build an exchange for the future.”
