Reference is made to the Company's earlier announcements dated 22 January 2026, 28 January 2026 3 April 2026 and 7 April 2026 in relation to the Proposals, the circular to shareholders dated 8 April 2026 in relation to the Proposals ("Circular") and the announcement dated 23 April 2026 in relation to the outcome of extraordinary general meeting for the Proposals. Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Circular. On behalf of the Board, Malacca Securities wishes to announce that all the conditions precedent have been fulfilled or waived on 24 April 2026 in accordance to the terms and conditions of the SSA. Accordingly, the SSA has become unconditional on even date.  This announcement is dated 24 April 2026.
