Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers .

On February 24, 2010, United States Cellular Corporation (“U.S. Cellular”) issued a press release announcing that its President and Chief Executive Officer, John E . Rooney, will retire in 2010. The effective date of retirement has not yet been determined and, as of this time, no agreement has been entered with Mr. Rooney relating to his retirement. A nationally recognized e xecutive recruiting firm is conducting a search for his replacement. A copy of such press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
