Clean-up Redemption Notice in respect of the

EUR 550,000,000 2.125% Series F Bonds due 2023

(the "Series F Bonds")

issued by

Aroundtown SA

(the "Issuer")

29 July 2020

Unless otherwise defined herein, capitalised terms shall have the meanings given to them in the terms and conditions of the Series F Bonds (the "Conditions").

Reference is made to Condition 5.2(b) of the Series F Bonds.

The Issuer hereby gives notice that, immediately prior to the date of this Clean-up Redemption Notice, the outstanding principal amount of the Series F Bonds is EUR 103,100,000.

As purchases and/or redemptions have been effected in respect of 81.25 per cent. in aggregate principal amount of the Series F Bonds, the Issuer hereby gives notice to the Bondholders of the exercise of its option pursuant to Condition 5.2(b) of the Series F Bonds.

As a consequence of this exercise, all outstanding Series F Bonds will be redeemed at their principal amount, together with accrued but unpaid interest on 1 September 2020.

This notice is supplemental to, and should be read in conjunction with, the Conditions.

The Issuer accepts responsibility for the information contained in this notice.
