ARCADIS FINALIZES ACQUISITION OF REMAINING SHARES OF ARCADIS LOGOS IN BRAZIL

July 19, 2011 – ARCADIS (EURONEXT: ARCAD), the international consultancy, design, engineering and management services company, announced today that it has finalized the purchase of the remaining shares in ARCADIS Logos in Brazil in which the company already held 50% plus 1 share. The remaining shares were bought from Logos Holding partners. The acquisition encompasses the project management, consultancy, engineering and environmental activities of ARCADIS Logos which are core business to ARCADIS. The energy producing assets of ARCADIS Logos, consisting of Biogas installations and small hydropower plants, are not part of the deal.

With more than 2100 people, gross revenues of over € 150 million in 2011, and margins well above the ARCADIS average, ARCADIS Logos is in an excellent position to benefit from the myriad growth opportunities in the Brazilian market. The company's backlog is very strong and this is even before the large investments coming to market in Brazil related to modernization of infrastructure and the 2016 Olympic games in Rio de Janeiro.

As previously announced, ARCADIS has partly financed the acquisition by issuing 1.16 million ARCADIS NV shares to the Logos Holding partners. These shares have a lock up period of 6 months with incentives for the active partners to hold them for at least 18 months after closing. Further financial details were not disclosed.
