Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 23, 2007, Paul B. Queally notified AMERISAFE, Inc. (the “Company”) of his resignation from the Company’s Board of Directors effective on March 1, 2007.

At a meeting held on February 27, 2007, the Company’s Board of Directors elected Randy Roach to fill the vacancy created by Mr. Queally’s resignation. Mr. Roach’s term will expire at the Company’s Annual Meeting of Shareholders in 2009. Mr. Roach is the currently serving Mayor of Lake Charles, Louisiana, and is a former member of the House of Representatives of the Louisiana Legislature.
