Item 8.01. Other Events

On July 28, 2016, American Express Company (the “Company) announced that it has issued a notice of redemption for all of its 6.80% Subordinated Debentures, at a redemption price equal to 100% of their principal amount. The redemption date will be September 1, 2016.

A copy of the press release announcing the redemption is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
