Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) (c) Ms. Joan Amble, age 57, Executive Vice President, Comptroller and Principal Accounting Officer of American Express Company (the "Company"), will retire on December 30, 2011. Ms. Amble will continue to serve as Comptroller and Principal Accounting Officer until May 15, 2011. It is anticipated that Mr. David Cornish, age 50, who has served as Senior Vice President and Deputy Controller of the Company since August 2004, will assume the position of Acting Comptroller and Principal Accounting Officer on May 16, 2011.
