Działając na podstawie art. 17 ust. 1 Rozporządzenia (UE) nr 596/2014 Parlamentu Europejskiego i Rady z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylającym dyrektywę 2003/6/WE Parlamentu i Rady i dyrektywę Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE ("Rozporządzenie MAR"), w nawiązaniu do: (i) raportu bieżącego nr 14/2021 z dnia 4 listopada 2021 r. w przedmiocie zawarcia umowy nabycia Mall Group a.s. i WE|DO CZ s.r.o. ("Umowa SPA"), (ii) raportu bieżącego nr 19/2021 z dnia 2 grudnia 2021 r. w przedmiocie spełnienia się pierwszego warunku zawieszającego zastrzeżonego w Umowie SPA, (iii) raportu bieżącego nr 21/2021 z dnia 13 grudnia 2021 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA oraz (iv) raportu bieżącego nr 22/2021 z dnia 17 grudnia 2021 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA, Rada Dyrektorów Allegro.eu ("Spółka", "Allegro.eu") niniejszym informuje, że w dniu 31 grudnia 2021 powzięła informację o zakończeniu przez Sprzedających procesu wydzielenia z grupy kapitałowej Mall Group a.s. spółki Vivantis a.s..

Wydzielenie spółki Vivantis a.s. z grupy kapitałowej Mall Group a.s. zostało ukończone przed dniem 31 grudnia 2021 r., co oznacza, iż dla celów Zamknięcia Transakcji Spółka nie będzie występować o dodatkowe zgody regulacyjne, które byłyby niezbędne gdyby wydzielenie nie nastąpiło, aby, w razie potrzeby, Transakcja mogła zostać sfinalizowana z uwzględnieniem Vivantis a.s.

Pojęcia pisane wielką literą i niezdefiniowane w niniejszym raporcie bieżącym mają znaczenie nadane im w raporcie bieżącym nr 14/2021 z dnia 4 listopada 2021 r.

Title: Inside information – carve-out of Vivantis a.s. from the Mall Group a.s. capital group

Legal basis: Art. 17 sec. 1 MAR – inside information

Acting on the basis of Art. 17 sec. 1 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"), with reference to: (i) current report No. 14/2021 of 4 November 2021 on the execution of agreement to acquire Mall Group a.s. and WE|DO CZ s.r.o. (the "SPA"), (ii) current report No. 19/2021 of 2 December 2021 on the fulfilment of the first condition precedent stipulated in the SPA, and (iii) current report No. 21/2021 of 13 December 2021 on the fulfilment of another condition precedent stipulated in the SPA, and (iv) current report No. 22/2021 of 17 December 2021 on the fulfilment of another condition precedent stipulated in the SPA, the Board of Directors of Allegro.eu (the "Company", "Allegro.eu") hereby gives notice that on 31 December 2021 it learned that the Sellers have completed the carve-out of Vivantis a.s. from the Mall Group a.s. capital group.

The carve-out of Vivantis a.s. from the Mall Group a.s. capital group was completed before 31 December 2021, which means that for the purpose of the Closing of the Transaction the Company will not apply for additional regulatory clearances which would have been necessary if the carve-out had not occurred, so that, if necessary, the Transaction could be completed including Vivantis a.s.

Capitalized terms used but not defined in this current report have the meanings ascribed to them in current report No. 14/2021 of 4 November 2021.
