Title: Changes in the composition of 1/ the management board of Allegrosp. z o.o. and 2/ the Board of Directors of Allegro.eu

The Board of Directors of Allegro.eu (the "Board") hereby reports thaton 4 July 2022:

1. Allegro.eu (the "Company_quot;), received the resignation of FrancoisNuyts (a member of the Board) from the Company's Board with effect as of31 August 2022;

2. Allegro sp. z o.o. (_quot;Allegro_quot;), a wholly owned subsidiary of theCompany, received the resignation of Francois Nuyts (a member of theManagement Board of Allegro) from the Allegro's Management Board witheffect as of 31 August 2022;

3. Roy Perticucci has been appointed as CEO and a member of theManagement Board of Allegro effective from 1 September 2022.

Following 31 August 2022, once Francois Nuyts' resignation becomeseffective, the Board of the Company shall meet to appoint Roy Perticuccias a co-opted member of the Board of the Company, and that co-optionshall be submitted for ratification by shareholders at the firstshareholders' meeting following that date.

Francois Nuyts will remain CEO of Allegro until 31 August 2022.Thereafter, he will remain available to assist Roy Perticucci as may berequired from time to time in order to ensure smooth transition.

Mr. Perticucci has over 20 years of experience leading retail andecommerce businesses internationally, as well as a track record ofbuilding organisations. He led the European Operations/CustomerFulfillment at Amazon between 2013-2020 and for a short timesimultaneously held the same responsibility for North America.Previously, he held senior roles at other large retailers includingAhold (Albert.nl), Dixon's and Tesco across Europe. As DevelopmentDirector and later Operations Director at Tesco.com, Mr. Perticuccioversaw the development of the world's largest Grocery Homeshoppingbusiness during its period of rapid growth. His contributions includedthe launch of the company's first "dark store_quot; and the Wine Warehouse aswell as the Tesco.net ISP. He began his career as a software developerat Accenture in Milan, and later as a consultant at the BostonConsulting Group in Munich.

The Company's Chairman of the Board, Darren Huston, welcomes the newCEO, who takes over from a manager with a great track record at Allegro.

Francois also led our entryinto international markets with the acquisition of Mall, laid thegroundwork for a company-owned package distribution network, andsuccessfully launched Allegro Pay.
