Title: Granting power to certain directors to initiate theimplementation of the share buyback programme by Allegro.eu and/or theissuance of new shares by Allegro.eu within the framework of theauthorised share capital

Legal basis: Market Abuse Regulation (EU) No 596/2014 of 16 April 2014,Commission delegated regulation (EU) 2016/1052 of 8 March 2016,Luxembourg companies law dated 10 August 1915, as amended from time totime, and Luxembourg law dated 11 January 2008 on transparencyrequirements in relation to information about issuers whose securitiesare admitted to trading on a regulated market.

The Board of Directors of Allegro.eu (the "Board") hereby informs aboutthe resolutions it has adopted on 29 June 2021 whereby the Boardresolved to grant power to any two of Darren Huston, François Nuyts, andJonathan Eastick, acting jointly and with full power of substitution, toinitiate: (i) implementation of a share buyback programme in order tomeet Allegro.eu's obligations arising under its employee incentive planwhich was approved by the shareholders of Allegro.eu on 20 September2020 and adopted by the Board on 7 October 2020 and to facilitate theallocation of shares to the employees of Allegro.eu and the employees ofits subsidiaries in accordance with its employee incentive plan (the"Free Shares Awards") and/or (ii) carry out an issuance of new shareswithin the framework of the authorised share capital of Allegro.eu, forthe purpose of satisfying the Free Shares Awards (the "CapitalIncrease"), with the share buyback (if any) being limited to a maximumnumber of 850,000 shares.

The Board resolved to approve the implementation of a share buybackprogramme and/or the Capital Increase, whichever solution is in thereasonable joint opinion of any of two of Darren Huston, François Nuytsand Jonathan Eastick, is deemed necessary or desirable in connectionwith the satisfaction of the Free Share Awards, after taking economic,legal and financial parameters into consideration within the Company'sbest interest.
