AC-Service AG Signs Letter of Intent to Integrate All for One Systemhaus GmbH

The intended integration is subject to the successful conclusion of further negotiations and foresees AC-Service AG acquiring all the shares of the spun- off All for One Systemhaus GmbH Midmarket Solutions. Stuttgart, 11 November 2005 – AC-Service AG of Stuttgart and All for One Systemhaus AG of Oberessendorf signed a letter of intent on 11 November 2005 that lays out the cornerstones for AC-Service AG to take over all the shares in All for One Systemhaus GmbH Midmarket Solutions. Further negotiations will be made on an exclusive basis. For several years now, the SAP systems- contracting division of All for One and AC-Service have been working together successfully in line with end-to-end projects for clients from machinery and equipment manufacturing industries and for suppliers to the automotive industry. In April 2005, All for One Systemhaus AG transferred its entire SAP systems- contracting business, representing annual revenues of nearly EUR 23 million and a double-digit EBIT margin to sales, into an independent subsidiary called All for One Systemhaus GmbH Midmarket Solutions. The headquarters of this newly established company focused on the SAP systems-contracting business is in Oberessendorf. Branch offices are also located in Stuttgart and Dortmund. With qualified mySAP All-in-One industry solutions for machinery and equipment manufacturers (All for Machine(R)), the electronics industry (All for Electric(R)), the automotive industry (All for Automotive(R)), the metal (All for Metal(R)) and plastics (All for Plastics(R)) processing industries, All for One’s SAP systems-contracting division ranks among the leading partners in SAP’s midmarket strategy in the segment of manufacturing companies involved in discrete manufacturing in German-speaking countries. SAP has recognised the division many times in Germany and worldwide with SAP Reseller Awards for its high-sales and customer-oriented organisation. The company has a strong market position and good prospects for growth, which would only be augmented, were it to be integrated into the AC-Service Group. According to the letter of intent, the purchase price, which includes variable, earn out components, is put at about 70 per cent of annual sales.
