Oslo Børs – Resolution of transfer of listing from Euronext Growth to Oslo Børs – Aker Horizons ASA
Oslo Børs has resolved to admit the shares in Aker Horizons ASA to listing on Oslo Børs.
The company was granted an exemption from the requirement for 25% spread of share ownership cf. Oslo Rulebook II – Issuer Rules section 3.1.4.1, cf. Rulebook I 6302/1 (i). The dispensation is granted on the basis of the significant market capitalization and the large number of shareholders. The dispensation is subject to a minimum spread of share ownership of 20% on the first day of listing, and a grace period of 18 months to meet the spread requirement. Based on an overall assessment, Oslo Børs considers the dispensation from the listing requirement regarding 25% spread of share ownership to be in the interest of the general public and investors.
Exemption was also granted from the requirement that a listed company must have been in existence for at least three years, cf. section Oslo Rule Book II – Issuer Rules, section 3.1.3.2. The exemption was granted because the company's business has been in existence for the required time, but has been carried out by different legal entities.
It is stipulated that the company prior to the first day of admission to trading satisfies the other admission requirements for Oslo Børs.
The President and CEO of Oslo Stock Exchange determines the first day of listing, no later than 18th July 2021.
