NOTICE OF THE 11TH ANNUAL GENERAL MEETING,

E-VOTING AND BOOK CLOSURE
Notice is fundity given that the 11th Annual General Mesting (AGM) of the Members of
Ajourt Biotech Limited will be held on Monday, September 27, 2021 at 10.30 a.m. (IST) through Video Conference / Other Audio Visual Means only, to transact the business as set out in the Notice of the AGM. Company has completed sending of Notice of the 11th AGM along with the Annual Report 2020-21 on Tuesday, August 31, 2021, through electronic mode only to those Members whose e-mail ids are registered with the Company, RTA and Depositories. The requirement of sending physical copies of Notice of AGM has been dispensed vide MCA Crouters dated April 6, 2020, April 13, 2020, May 5, 2020 and January 13, 2021 and SEBI Circulars deted May 12, 2020 and January 15, 2021. Annual Report of FY 2020-21 of the Company along with Notice of AGM is available on the website of the Company atwww.ajooniblotech.com, websites of the Stock Exchanges at www.neeindia.com and website of NSDL at www.avoting.nsdi.com.

Book Closure and Dividend: The Register of Members and the Share Transfer Books of the Company will remain closed from Tuesday, September 21, 2021 to Monday. September 27, 2021 (both days inclusive) for the purpose of 11th AGM for the financial

Remote e-Voting: In compliance with Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014, as amended from time to time, the Secretarial Standard on General Meetings (SS-2) issued by the Institute of Company Secretaries of India and Regulation 44 of the SEBI (LODR) Regulations, 2015, the Company is providing facility of remote a Wolfing before / during the AGM. Company has appointed NSDL for facilitating voting through electronic means. E-Voting facility would be available from 23/09 p.m. IST) and shall be disabled by NSDL thereafter.

A non-individual shareholder or shareholder holding securities in physical mode, who acquires stiares of the Company and becomes a Member of the Company after the dispatch of the Notice and holds shares as on the cut-off date, may obtain the User ID and Password for a Voting by sending a request at evolng@redi.co.in. However, if the Mamber is already registered with NSDL for remote e-Voting then he'she can use his/her existing User ID and password for casting the vote.

Individual shareholders holding securities in electronic mode and who acquires shares of the Company, becomes a Member of the Company after dispation of the Notice and holds shares as of the cut-off date, may follow the login process mentioned in the Notice of AGM. Members can also login by using the existing login credentials of the demat account held with NSOL ar CDSL for a-voting facility.

Shareholders whose e-mail ids are not registered can get the same registered with the company by providing Folio No, scanned copy of the share contricate, PAN and AADHAR by sending email to ca@ajoonibiotech.com.
