Reference is made to public announcement today regarding the acquisition of Stenseth & RS Holding AS. According to the authorisation given by the general meeting 11 May 2021, the Board of Directors in AF Gruppen ASA has decided to perform a share issue of 203,126 shares as a private placement to the sellers of shares in Stenseth & RS Holding AS. The subscription price will be NOK 196.92 per share, corresponding to average share price of week 10. The nominal value per share is NOK 0.05.

The share issue will increase the share capital in AF Gruppen by NOK 10,156.30 to NOK 5,350,381.30. The total number of shares outstanding after this share issue will be

107,007,626.

A new certificate of registration will be submitted to Oslo Stock Exchange when it is available.
