Sale of shares from partners and settlement of forward contracts

ABG Sundal Collier Holding ASA (OSE: ASC) yesterday

did a placement of 5,831,964 shares from partners of

the firm to investors and the CEO. The shares were

sold at a price of NOK 5.40 per share. Following the

placement partners of ABG Sundal Collier will hold

approx. 28% of the fully diluted number of shares in

the company.

With reference to our previously press releases ASC

sold yesterday 1,902,600 shares to partners as

settlement of forward contracts that were previously

entered into. The shares were sold at an average price

of NOK 2.333 per share. The previously announced

prices have been adjusted for dividends, interest

changes and earlier settlement of the forward contract.

ASC owns 8,862,261 treasury shares following the

transactions above. The company has forward contracts

with partners purchasing a total of 34,074,838 shares

with settlement in 2016-2019.

Knut Brundtland has through the company Piero AS

purchased 500,000 shares at NOK 5.40 per share.

Following the transaction Knut Brundtland, incl. the

companies Giotto AS and Piero AS, owns 4,950,000

shares plus 100,000 shares on a forward contract.

Arild A. Engh has through a 100% owned company sold

611,698 shares at NOK 5.40. Following the transaction

Arild A. Engh, incl. 100% owned companies, owns

4,573,138 shares plus 300,138 shares on a forward

contract.

Per Flostrand has sold 92,524 shares at NOK 5.40 per

share. Following the transaction Per Flostrand owns

165,000 shares plus 700,000 shares on forward

contracts.

Magnus Tornling has through a 100% owned company, sold

124,885 shares at NOK 5.40 per share. Following the

transaction Magnus Tornling, incl. a 100% owned

company, owns 606,400 shares.

Geir Ringstad has, incl. a 100% owned company, sold

433,896 shares at NOK 5.40 per share. Following the

transaction Geir Ringstad, incl. a 100% owned company,

owns 500,000 shares.

Rune Ruud has sold 43,795 shares at NOK 5.40 per

share. Following the transaction Rune Ruud owns

126,133 shares.

Mikael Hansson has sold 1,797 shares at NOK 5.40 per

share. Following the transaction Mikael Hansson owns

52,500 shares plus 15,000 shares on a forward contract.
