MANDATORY TOTALITARIAN TENDER OFFER FOR THE ORDINARY SHARES OF PALINGEO S.P.A.

DECISION OF THE PANEL OF BORSA ITALIANA S.P.A. ESTABLISHED PURSUANT TO THE EURONEXT GROWTH MILAN ISSUERS' REGULATION

Basiliano (Udine), 1 December, 2025 – I.CO.P. S.p.A. Società Benefit ("ICOP") takes note of the decision made to the market by Borsa Italiana S.p.A. on 30 November 2025 regarding the determinations issued by the Panel of Borsa Italiana S.p.A. with respect to the consideration of the mandatory public tender offer for the ordinary shares of Palingeo S.p.A. launched by ICOP.

In this regard, the market is informed that the Board of Directors of ICOP has been convened for 5 December 2025 to examine the Panel's decision and to adopt the relevant resolutions concerning the Panel's determinations on the recalculation of the offer price.

ICOP will provide the market with appropriate updates in due course.
