Tekna Holding ASA: Disposal and Subscription by primary insider in the rights issue

Reference is made to the stock exchange announcement published by Tekna Holding ASA (the "Company") on 18 November 2025, regarding the commencement of the subscription period in the fully underwritten rights issue of 100,000,000 new shares in the Company, at a subscription price of NOK 3.00 per share to raise gross proceeds of NOK 300 million (the "Rights Issue").
As part of this process, certain primary insiders, and certain close associates of primary insiders, of the Company have disposed of subscription rights and subscribed for offer shares.
ESC Holding AS, a company closely associated with Espen Schie, CFO of the Company, has on 25 November 2025 disposed of 112,867 subscription rights in the Company at the price of NOK 0,0914, the total value of the transaction was NOK 10,316. It has on 27 November 2025 subscribed for 4,444 offer shares at the subscription price, in addition to the earlier subscription on 25 November 2025 for 20,010 offer shares (already notified), totalling 24,454 offer shares.
The grand total of subscription by all primary insiders and close associates, to date stands at 1,091,600 offer shares (excluding Arendals Fossekompani ASA).
A stock exchange announcement with final subscription and allocation, including allocation to primary insiders, will be published following completion of the subscription period.
