Proposal by the Nomination Committee of AQ Group AB for election of members of the Board of Directors

AQ Group's Nomination Committee consists of Per-OlofAndersson, Claes Mellgren, Björn Henriksson, representing Nordea Fonder, and the Chairman of the Nomination Committee Vegard Søraunet, representing ODIN Fonder. In accordance with theAnnual General Meeting's decision, the Nomination Committee shall evaluate the composition and work of the Board and prepare proposals for the 2020Annual General Meeting.

The Nomination Committee has evaluated the work of the Board and the Chairman of the Board has described how the work has been conducted. The Nomination Committee has also supplemented the Board's evaluation with interviews with Board members. Before theAnnual General Meeting 2020, the Nomination Committee has held three recorded meetings at which all members participated and in addition they have had contact via telephone and e-mail.

Before theAnnual General Meeting 2020, AQ Group's Nomination Committee proposes re-election of the Board members Gunilla Spongh, Lars Wrebo, Ulf Gundemark, Per-OlofAndersson, Annika Johansson-Rosengren and Claes Mellgren. The Nomination Committee further proposes that Patrik Nolåker be reelected as Chairman of the Board ofAQ Group.

The Nomination Committee's complete proposal for decisions at theAnnual General Meeting 2020 will be submitted no later than in connection with the publication of the notice to theAnnual General Meeting.
