23-2021 5th Planet Games grants warrants to Ed Williams, Søren Kokbøl Jensen, David Higley and Kim Friland

COPENHAGEN, September 13, 2021: 5th Planet Games A/S (OAX: 5PG) announces the granting of warrants to Ed Williams, Søren Kokbøl Jensen, David Higley and Kim Friland.

The warrants are granted pursuant to the authorities in sections 2.2 and 2.6 of 5th Planet Games' Articles of Association as adopted at 5th Planet Games' General Meeting on September 7th, 2021 and are all covered by the 2021 Warrant Program.

All warrants are granted with an exercise price of NOK 0.94, corresponding to the average closing price over the latest 10 trading days.

Ed Williams

Ed William has been appointed to 5th Planet Games as a strategic advisor and has been granted a total of 5,187,028 warrants split across "Initial Warrants" and "Milestone Warrants".

Ed Williams is a Managing Partner and founder of Silsbee Partners which he founded in 2016 and a Venture Partner with Franklin Venture Partners. Mr. Williams has over 25 years of experience working with digital entertainment companies. Mr. Williams, through Silsbee Partners, provides strategic advisory services to, inter alia, publicly-traded companies. He has advised a wide range of clients at Silsbee, including companies based in North America, Europe and Asia. Previously, Mr. Williams was an analyst at BMO Capital Markets from 1999 to 2015, where he led the coverage of the digital entertainment and eCommerce sectors.

The Initial Warrants comprise 2,074,811 warrants that will vest monthly with 1/36 warrants vesting per month. The Milestone Warrants comprise 3,112,217 warrants that have vested upon grant and will be exercisable in accordance with the following terms:

• 25% Milestone Warrants upon the Company having a market capitalization of USD 60,000,000 or more on a trading day based on the volume-weighted average price on such trading day as announced by Euronext Expand Oslo.

• 25% of the Milestone Warrants upon the Company having a market capitalization of USD 75,000,000 or more on a trading day based on the volume-weighted average price on such trading day as announced by Euronext Expand Oslo.

• 25% of the Milestone Warrants upon the Company having a market capitalization of USD 100,000,000 or more on a trading day based on the volume-weighted average price on such trading day as announced by Euronext Expand Oslo.

• 25% of the Milestone Warrants upon the Company having Market Capitalization of USD 125,000,000 or more on a trading day based on the volume-weighted average price on such trading day as announced by Euronext Expand Oslo.

Søren Kokbøl Jensen, David Higley and Kim Friland

Søren Kokbøl Jensen, who is a board member, has been granted a total of 240,000 warrants. The warrants will vest monthly with 1/36 warrants vesting per month.

David Higley has been granted a total of 500,000 warrants and Kim Friland has been granted a total of 100,000 warrants. Their warrants are fully vested at the time of the grant and may be exercised at any time.
