Presentate le liste di candidati per la nomina degli organi sociali di BasicNet S.p.A.

Si rende noto che sono state depositate due liste di candidati per la nomina del Consiglio di Amministrazione e due liste di candidati per la nomina del Collegio Sindacale che saranno sottoposte alla prossima Assemblea degli Azionisti, convocata per il giorno 17 aprile 2025 in unica convocazione.

Per entrambi gli organi sociali da rinnovare sono state presentate le seguenti liste:

Lista 1) presentata dall'azionista BasicWorld S.r.l. titolare del 37,42% del capitale sociale di BasicNet S.p.A.;

Lista 2) presentata dall'azionista Helikon Investments Limited, gestore che opera in nome e per conto di Helikon Long Short Equity Fund Master ICA, titolare dell'11,73 % del capitale sociale di BasicNet S.p.A.

Unitamente alle liste, il socio BasicWorld S.r.l. ha altresì presentato le proposte di deliberazione in merito:

alla nomina del Consiglio di Amministrazione:

• Determinazione del numero dei componenti.
• Determinazione della durata in carica degli Amministratori.
• Nomina del Presidente.
• Deliberazioni in merito ai compensi per i membri del Consiglio di Amministrazione.
• Deliberazioni in merito all'attribuzione di un'indennità di fine mandato per il Presidente.
• Autorizzazione ai sensi dell'articolo 2390 del Codice Civile.

alla nomina del Collegio Sindacale:

• Determinazione dei compensi spettanti ai componenti il Collegio Sindacale

Publication of lists of candidates for the appointments of Board of Directors and Statutory Auditors of BasicNet S.p.A.

This is to inform that two lists of candidates to the position of the Board of Directors and two lists of candidates to the position of Statutory Auditors have been deposited and will be submitted to the next Shareholders' Meeting convened on 17 April 2025, in single call:

List no.1) submitted by BasicWorld S.r.l. holding 37.42% of the share capital of BasicNet S.p.A.;

List no. 2) submitted by Helikon Investments Limited, manager operating in the name and on behalf of Helikon Long Short Equity Fund Master ICA, holding 11.73% of the share capital of BasicNet S.p.A.

With the lists, BasicWorld S.r.l. has also submitted the proposals for resolutions concerning:

Appointment of the Board of Directors:

• Establishment of the number of members.
• Establishment of the duration of office of the Directors.
• Appointment of the Chairperson.
• Motions regarding remuneration for members of the Board of Directors.
• Motions regarding termination indemnity for the Chairperson.
• Authorisation pursuant to Article 2390 of the Civil Code.

Appointment of the Board of Statutory Auditors:

• Determination of the fees due to the members of the Board of Statutory Auditors.

The documents required by the regulations in force and the bylaws will be made available to the public at the company's registered office and on the company's website www.basicnet.com, as well as on the authorized storage system .
