Item 7.01 Regulation FD Disclosure

On May 11, 2005, 3M Company, a Delaware corporation (“3M”), CUNO Inc., a Delaware corporation (“CUNO”) and Carrera Acquisition Corporation, a Delaware corporation and a wholly-owned subsidiary of 3M (“Merger Sub”), announced they had signed an Agreement and Plan of Merger, dated as of May 11, 2005 (the “Merger Agreement”), pursuant to which Merger Sub would merge (the “Merger”) with and into CUNO, with CUNO continuing as the surviving corporation.

An investor presentation will be used in analyst and other meetings in connection with the Merger and is attached hereto as Exhibit 99.1. A copy of the presentation will be furnished at, and posted on 3M’s website (http://investor.3M.com). The presentation is being furnished pursuant to Item 7.01, and the information contained therein shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, or otherwise subject to the liabilities under that Section.
