Acomo announces resolutions of the Extraordinary General Meeting and formal approval of the competition authorities

ROTTERDAM (NL), 22 DECEMBER 2020

Amsterdam Commodities N.V. (Euronext: Acomo), the Amsterdam-listed trader in food ingredients announces the resolutions of the Extraordinary General Meeting, held as a webinar on 22 December 2020, and formal approval of the various competition authorities received to date for the acquisition of SunOpta's international organic ingredients business comprising The Organic Corporation B.V. and Tradin Organics USA LLC (together, Tradin) as announced on 10 November 2020.

The Extraordinary General Meeting of shareholders (EGM), adopted the proposal to approve the envisaged acquisition of all shares of The Organic Corporation B.V. and all membership interests of Tradin Organics USA LLC. Also, the resolution to appoint the Board of Directors for a period of 18 months as the authorized body to issue new common shares and/or grant rights to acquire new common shares and to limit or exclude pre-emptive rights for an amount up to €100 million, subject to the Company's authorized share capital as included in its articles of association has been adopted during the EGM.

Amsterdam Commodities N.V. has also received approval to continue and close the transaction from all applicable competition authorities: The Dutch competition authority ACM (Autoriteit Consument en Markt), The German federal competition authority (Bundeskartellamt), and The US federal trade commission (Bureau of Competition).

Based on the approvals received Amsterdam Commodities N.V. expects to close the transaction before the end of 2020.

Acomo rapporteert de besluiten van de buitengewone algemene vergadering van aandeelhouders en de formele goedkeuring van de mededingingsautoriteiten

ROTTERDAM, 22 DECEMBER 2020

Amsterdam Commodities N.V. (Euronext: Acomo), de in Amsterdam beursgenoteerde handelsonderneming in voedingsingrediënten, maakt de besluiten bekend van de Buitengewone Algemene Vergadering van Aandeelhouders (BAVA), gehouden als webinar op 22 december 2020, en de formele goedkeuring van de verschillende mededingingsautoriteiten die zijn ontvangen voor de overname van SunOpta's internationale biologische ingrediëntenactiviteiten, bestaande uit The Organic Corporation B.V. en Tradin Organics USA LLC (samen Tradin) zoals aangekondigd op 10 november 2020.

De Buitengewone Algemene Vergadering van Aandeelhouders (BAVA) heeft het voorstel om de voorgenomen overname van alle aandelen in The Organic Corporation B.V. en alle lidmaatschapsrechten in Tradin Organics USA LLC goedgekeurd. Tevens werd het voorstel tot aanwijzing van de Raad van Bestuur voor de duur van 18 maanden als het bevoegd orgaan om te besluiten tot uitgifte van nieuwe gewone aandelen en/of het toekennen van rechten tot het verwerven van nieuwe gewone aandelen en het beperken en/of uitsluiten van voorkeursrechten tot een maximum van € 100 miljoen, met inachtneming van het maatschappelijk aandelenkapitaal zoals vermeld in de statuten van de vennootschap, aangenomen.

Amsterdam Commodities N.V. heeft ook de goedkeuring verkregen om de overname voort te zetten en af te ronden van alle relevante mededingingsautoriteiten: de Nederlandse mededingingsautoriteit ACM (Autoriteit Consument en Markt), de Duitse federale mededingingsautoriteit (Bundeskartellamt) en de Amerikaanse federale handelscommissie (Bureau of Competition).

Op basis van de ontvangen goedkeuringen verwacht Amsterdam Commodities N.V. de overname voor eind 2020 af te ronden.
