Today, Amsterdam Commodities N.V. (Acomo), the Euronext Amsterdam-listed trader in spices and nuts, edible seeds, tea, food ingredients and organic ingredients announces that due to the current COVID-19 measures and constraints issued by the Dutch Government, including a ban on group gatherings, the upcoming Annual General Meeting of Shareholders (AGM), initially scheduled on 22 April 2021 and to take place in The Hilton Rotterdam, will be reformatted and held through a live webinar only.
The AGM webinar will take place at the same time and date that was scheduled originally i.e. at 10.30 h (CET) on Thursday 22th April 2021. The proposed AGM agenda remains unchanged. Voting will exclusively take place through proxy voting. Questions submitted by shareholders in advance but before 19 April 2021 10.30 h (CET), will be answered during the AGM webinar.
The AGM agenda and voting items remain unchanged. Voting will exclusively take place through proxy voting. Shareholders can submit their instructions through their intermediaries or by using the portal of ABN AMRO Bank (www.abnamro.com/evoting). Detailed instructions from the ABN AMRO Bank have been published on the Acomo company site https://www.acomo.nl/wpcontent/uploads/2021/03/20210311-Acomo-voting-instructions-AGM.pdf.
The deadline for submitting voting instructions is Thursday 15th April 2021 17.00 h (CET). Please note that your intermediary might have a different closing date.
In order to attend and log in to the webinar on 22th April, shareholders are requested to fill in the registration form that is published on the Acomo company website https://www.acomo.nl/wp-content/uploads/2021/04/AGM-Acomo-registration-form-2021.docx. The meeting will be held in Dutch. However, in line with the previous physical meetings, an English interpreter has been arranged for. If you wish to make use of the translation facility, please let us know up front via the registration form and separate instructions will be send.
This registration form should be mailed to: [email protected] by Thursday 15th April 2021 before 17.00 h (CET).
Shareholders who have registered for the webinar will receive an email prior to the meeting with a personalised link that will give access to the webinar.
Shareholders are invited to submit questions only prior to the meeting by using a special form published and available on the Acomo company website https://www.acomo.nl/wp-content/uploads/2021/04/AGM-Acomo-question-form-2021.docx. Questions that have not been submitted in a timely fashion shall not be addressed during the webinar. Shareholders who have submitted questions in accordance with these instructions, may ask follow-up questions during the webinar by using the chat functionality provided via the webinar technology. Submitted questions will be grouped and answered during the meeting.

(Acomo), de aan de Euronext Amsterdam genoteerde handelsonderneming in specerijen, noten, eetbare zaden, thee, voedingsingrediënten en biologische ingrediënten, kondigt vandaag aan dat in verband met de huidige COVID-19 maatregelen en beperkingen vanuit de Nederlandse overheid, waaronder een verbod op groepsbijeenkomsten, de komende Algemene Vergadering van Aandeelhouders (AVA), die was gepland op 22 april 2021 in het Hilton Hotel te Rotterdam, zal worden omgezet naar een uitsluitend via internet te volgen live webinar.
De AVA-webinar zal gehouden worden op de oorspronkelijk geplande datum, donderdag 22 april 2021 om 10.30 uur (CET). De voorgestelde agenda van de AVA blijft ongewijzigd. Stemmen vindt uitsluitend plaats via proxy voting. Vragen die vóór maandag 19 april 2021 10.30 uur (CET) door aandeelhouders zijn ingestuurd, worden in behandeling genomen en beantwoord tijdens de AVA-webinar.
De AVA-agenda blijft ongewijzigd. Stemmen vindt uitsluitend plaats door middel van evoting. Aandeelhouders kunnen hun steminstructies indienen via hun intermediair of via de portal van de ABN AMRO Bank (www.abnamro.com/evoting). Op de Acomo website is een uitgebreide instructie te vinden https://www.acomo.nl/wp-content/uploads/2021/03/20210311-Acomo-votinginstructions-AGM.pdf.
De deadline voor het indienen van de steminstructies is donderdag 15 april 2021 vóór 17.00 uur (CET). Het is mogelijk dat uw intermediair een kortere deadline hanteert.
Om deze webinar bij te wonen en in te loggen, wordt aandeelhouders verzocht zich aan te melden via het registratieformulier dat op de website van Acomo is gepubliceerd https://www.acomo.nl/wp-content/uploads/2021/04/AGM-Acomo-registration-form-2021.docx. De vergadering zal worden gehouden in de Nederlandse taal, echter hebben we, zoals tijdens voorgaande fysieke vergaderingen, een Engelse tolk welke de meeting vertaald. Mocht u daar gebruik van willen maken dan vernemen wij dat graag voorafgaand aan de meeting via het registratieformulier, verdere details volgen daarna.
Dit inschrijfformulier dient uiterlijk donderdag 15 april 2021 vóór 17.00 uur (CET) te zijn gemaild naar [email protected].
Voorafgaand aan de vergadering ontvangen aandeelhouders die zich hebben aangemeld om de webinar bij te wonen een gepersonaliseerde link die toegang geeft tot de AVA.
Aandeelhouders worden uitgenodigd om voorafgaand aan de vergadering vragen in te dienen middels een speciaal formulier dat is gepubliceerd op de Acomo website https://www.acomo.nl/wp-content/uploads/2021/04/AGM-Acomo-question-form-2021.docx. Vragen die niet tijdig zijn ingediend zullen niet worden behandeld tijdens het webinar. Aandeelhouders die tijdig vragen hebben ingediend volgens deze instructies mogen tijdens het webinar follow-up vragen stellen door gebruik te maken van de chatfunctionaliteit zoals ondersteund door de webinar technologie. De ingediende vragen zullen worden gegroepeerd en tijdens de AVA worden behandeld.
